Provision 29: The End of Compliance Theatre for UK Boards
Provision 29 is the end of boilerplate governance. UK boards must now evidence the systemic integrity of their material controls.
The grace period is over. Provision 29 of the UK Corporate Governance Code 2024 applies to all financial years beginning on or after January 1 2026. Boards are now required to issue a formal declaration on the effectiveness of their material controls. This includes financial, operational, and compliance controls.
Boilerplate governance is dead. If your board cannot evidence the testing of these controls, you are in breach of the Code. This is not about ticking boxes. It is about the systemic integrity of your business. Strategic advantage in 2026 belongs to those who view GRC as a performance engine, not a regulatory tax.
Declare your effectiveness or admit your failure.
