Terms of Service

1. Agreement to Terms

By accessing or using Simplif-i's compliance management platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service. Simplif-i Systems Ltd of 66 Paul Street, London, EC2A 4NA ("Simplif-i", "we", "us") provides the Service. Any reference to affiliations is for information only and does not change that Simplif-i Systems Ltd is the contracting party. If you use the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation, and "you" includes that organisation.

2. Description of Service

Simplif-i provides a cloud-based compliance management platform that enables organizations to manage their compliance frameworks, track evidence, respond to security questionnaires, and generate audit reports. The Service includes features such as document management, risk registers, and AI-assisted compliance tools. The features available to you depend on the subscription tier you purchase and any applicable order form. We may update, modify, or discontinue particular features from time to time; if we make a material reduction to core functionality of your paid tier, we will provide reasonable notice.

3. Account Registration

To use our Service, you must:

  • Be at least 18 years of age
  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access
  • Accept responsibility for all activities under your account

You are responsible for all access and use of the Service by your authorised users, and for maintaining appropriate administrative, technical, and physical safeguards for usernames, passwords, and API keys. We may suspend an account where we reasonably believe it has been compromised.

4. Subscription and Payment

4.1 Subscription Tiers

We offer different subscription tiers (Lite, Pro, Enterprise) with varying features and pricing. Details of each tier are available on our pricing page.

4.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. All payments are processed securely through Stripe. Prices are in GBP unless otherwise stated.

4.3 Taxes; Payment Failure; Price Changes

Fees are exclusive of VAT and any applicable taxes, which you must pay. If a payment fails, we may retry payment and suspend access until payment is received. We may change fees for future renewal periods by giving you at least 30 days' notice (or as otherwise required by law). Overdue amounts may accrue interest at 4% per annum above the Bank of England base rate, calculated daily, plus reasonable recovery costs, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

4.4 Free Trial

New customers may be eligible for a 7-day free trial (unless we state otherwise). Unless you cancel before the trial ends via your account settings, you authorise us (via Stripe) to charge the applicable subscription fee for the next billing period immediately after the trial ends. Trial eligibility and availability are determined by us at our discretion.

4.5 Refunds

For annual subscriptions purchased directly from us, you may request a pro-rata refund within 30 days of the initial purchase date, provided your account is in good standing and you have not materially breached these Terms. Refunds exclude VAT/taxes and third-party transaction fees where non-recoverable. Monthly subscriptions and renewal payments are non-refundable. To request a refund, contact support@simplif-i.com.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service or servers
  • Resell, sublicense, or redistribute the Service without authorization
  • Use the Service to store or transmit infringing or illegal content
  • Impersonate any person or entity
  • Harvest or collect user information without consent

5.1 Enforcement

If we reasonably believe you have breached this section or that your use poses a security risk, we may (i) remove or disable access to relevant content, (ii) suspend your access to the Service, or (iii) terminate your account, in each case with or without notice where reasonably necessary to prevent harm or comply with law.

5.2 Prohibited Activities

You must not (a) reverse engineer, decompile, or attempt to derive source code from the Service (except to the extent such restriction is prohibited by law), (b) perform security testing (including penetration testing) without our prior written consent, or (c) publish benchmarks or performance results of the Service without our prior written consent.

6. Intellectual Property

6.1 Our Property

The Service, including its original content, features, and functionality, is owned by Simplif-i and protected by intellectual property laws. Our trademarks and trade dress may not be used without prior written permission.

6.2 Your Content

You retain ownership of any content you upload to the Service. By uploading or submitting content to the Service ("Customer Content"), you grant us and our subcontractors a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit, process, modify (for formatting/technical purposes), display, and otherwise use Customer Content to provide, secure, support, and improve the Service, and to comply with law. This licence ends when you delete the Customer Content from the Service, subject to reasonable backup/archival retention and any legal requirements.

6.3 Content Warranties

You represent and warrant that you have all rights, licences, and permissions necessary to upload and use Customer Content with the Service and that Customer Content (and your use of it) does not infringe any third-party rights or violate applicable law. You will indemnify us against third-party claims arising from Customer Content or your breach of this section.

6.4 Licence Grant

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable licence to access and use the Service during your subscription term for your internal business purposes.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described in the Privacy Policy. We maintain administrative, technical, and organisational security measures designed to protect Customer Content against unauthorised access, loss, alteration, or disclosure. Further details are available in our security documentation, which we may update from time to time.

8. Data Processing

To the extent we process personal data on your behalf as a processor, the Data Processing Addendum ("DPA") forms part of these Terms. The DPA sets out the parties' obligations under the UK GDPR (and, where applicable, the EU GDPR), including subprocessors, security measures, breach notification, assistance with data subject requests, and international transfer safeguards.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice when possible. We may modify, suspend, or discontinue the Service (in whole or part) at any time. Where reasonably practicable, we will give you advance notice of material changes or discontinuation. If we discontinue the Service in its entirety during a paid subscription term other than due to your breach, we will provide a pro-rata refund of prepaid fees for the unused period and a reasonable opportunity to export your Customer Content. Support is provided in accordance with our support policy, which we may update from time to time.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will meet your specific requirements, be error-free, or that defects will be corrected. The Service is not intended to replace professional legal, compliance, or audit advice.

AI Tools: If the Service provides AI-assisted features, any outputs are generated automatically and may be inaccurate, incomplete, or not suitable for your purposes. You are responsible for reviewing and verifying outputs and for all compliance, legal, and audit decisions. Unless expressly agreed in writing, we do not use your Customer Content to train general-purpose AI models. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law. You remain solely responsible for your compliance obligations and for any actions you take based on information generated by the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLIF-I SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS.

Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law.

Subject to the paragraph above, Simplif-i's total aggregate liability arising out of or in connection with the Service or these Terms (whether in contract, tort (including negligence), breach of statutory duty, or otherwise) shall not exceed the total fees paid by you for the Service in the 12 months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Simplif-i, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

We may terminate or suspend your account immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the Service will cease. You may terminate your account at any time by contacting support. Data retention after termination is governed by our Privacy Policy.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
