M&A Integration Synergies Need a Ledger, Not a Slide

A deal thesis is not realised value. Turn each synergy into a baseline, an owner, a cost and evidence of delivery.

A synergy slide can make a deal look compelling. It cannot deliver the result. Value only becomes real when an accountable person changes an operating process, captures the benefit and proves the baseline moved.

Treat every material synergy as a managed initiative, not a line in a presentation. PMI’s Benefits Realization Management framework provides a practical discipline for identifying, planning, tracking and reviewing benefits. PMI Benefits Realization Management Framework

Build a value ledger

For each initiative, record:

  • The baseline: current spend, revenue, capacity, service level or cycle time, with the period and data source.
  • The mechanism: what will actually change, and why that change should produce the claimed benefit.
  • The accountable owner: one person who can make the operating decision, not a committee name.
  • Cost to achieve: systems work, retention risk, restructuring, training, advice and management time. Gross benefit is not net value.
  • Dependencies and timing: the approvals, technology, people and customer actions required before the result can land.
  • Evidence and review date: how finance and the business will confirm delivery, and when the assumption will be challenged.

Do not count the same saving twice under two workstreams. Do not mark a benefit as realised because a task is complete. A migration may be finished while the cost base remains unchanged. A cross-sell plan may be launched without a customer taking the offer.

Protect the value before close

Integration planning needs a clear boundary. Where CMA interim measures apply, merging businesses may be required to pause integration and continue to operate separately. The CMA says those measures are intended to preserve separation while it investigates. Get competition-law advice on the specific deal and keep any pre-close planning within the permitted limits. Run the plan like a business case

At each steering review, show forecast benefit, cost to achieve, confidence, blockers and the decision needed. Escalate a blocked dependency early. Reforecast when evidence changes. Stop initiatives whose economics no longer hold.

The board does not need another optimistic synergy total. It needs a credible bridge from deal rationale to operating change to verified value. If no one owns that bridge, the value is only a claim.
