# Synergies Do Not Integrate Themselves **Category:** MA **Author:** John Hotham **Published:** 2026-10-12 **Read Time:** 5 min read ## Summary An acquisition thesis is not a delivery plan. Convert each synergy into a named owner, dated dependency, finance-validated baseline and decision route. ## Full Content # Synergies Do Not Integrate Themselves The deal model is not the integration plan. A synergy figure in a presentation does not tell anyone what must change, who has authority to change it, what it depends on or how Finance will prove the benefit. The UK Finance submission to the CMA’s merger-efficiencies review describes the importance of bottom-up assessment and validation when estimating merger efficiencies. That is a useful discipline beyond competition analysis: assumptions should be specific enough to test, not broad enough to hide behind. [UK Finance, response to the CMA merger efficiencies review](https://www.ukfinance.org.uk/system/files/2026-03/UK%20Finance%20respond%20to%20the%20CMA's%20Merger%20Efficiencies%20Review.pdf) The CMA’s merger assessment guidance also explains its framework for considering claimed efficiencies in a merger case. Separate cashable savings from capacity released, revenue opportunities and risk reduction. They are not interchangeable. Name the accountable executive, not just the workstream. A workstream can report progress while nobody owns the business result. Finance should agree the measurement method before the integration team books a benefit. ## Sequence the hard dependencies A procurement saving may depend on supplier consent, contract novation or a combined demand forecast. A technology consolidation may depend on data migration, regulatory review, cyber controls or a customer-service change. Put those dependencies on the critical path and state what happens if they slip. ![Synergy workstreams converging into a value bridge](https://static.prod-images.emergentagent.com/jobs/sched-2866d31f-92d1-431d-ac9f-1a8d77fdfd4c-1791792060030/images/7f3bec9aaea71c8590259ba7bf98699e84031c4808dd7023e1d1bcca6a81b262.jpeg) ## Treat governance as a decision engine The integration office should not be a reporting factory. Its job is to expose trade-offs early, force decisions to the right level and maintain one evidence-backed view of delivery. Each review should answer: what changed, what is blocked, what decision is needed, what value is at risk and who will act by when? Keep a decision log. Record approvals, rejected options, scope changes and revised forecasts. Without it, teams revisit settled questions and the value case drifts without an audit trail. ![Integration milestones and accountable workstreams](https://static.prod-images.emergentagent.com/jobs/sched-2866d31f-92d1-431d-ac9f-1a8d77fdfd4c-1791792060030/images/6029e6e57b66e5b0e3301f6181125a967816f3be965187608521085c77ec0270.jpeg) ## Put the return on one page Show approved value, delivered value, one-off integration cost, slippage and the assumptions that changed. Make the bridge legible to the board and testable by Finance. Do not count the same benefit in two workstreams. Do not relabel a delayed benefit as delivered because the deal narrative needs a win. Select the five highest-value assumptions and ask each owner to show the baseline, dependency, decision and proof. If those do not exist, the synergy is still a hypothesis. --- Source: https://simplif-i.com/api/blog/readable/ma/ma-synergies-do-not-integrate-themselves-20261012 Web Version: https://simplif-i.com/blog/ma/ma-synergies-do-not-integrate-themselves-20261012 © Simplif-i - Unified Business Management Platform
