Convert the investment thesis into owned work, protected customer operations, measurable baselines and controlled information access. ## Full Content # The Deal Model Is Not an Integration Plan A deal model can make value look inevitable. It is not. Revenue synergies need customers to change behaviour. Cost synergies need operating decisions, owners and delivery capacity. Until those conditions are real, the number is a hypothesis. ## Convert each thesis into a delivery case For every value lever, record the baseline, target, accountable executive, first proof point, timing, dependencies and one-off cost. State what must be true for the value to land. If the plan depends on a customer migration, system consolidation or supplier renegotiation, name the decision and the owner. Do not hide assumptions inside a single synergy line. Separate value that is already supported by evidence from value that remains conditional. Set review gates where leadership can continue, change or stop the work. This makes the forecast challengeable before additional cost is committed. ## Protect the business while planning the combination Continuity is part of value. Map critical customers, contracts, people, systems and service dependencies before changing them. Give the integration lead a view of operational risk and the accountable business owner for each safeguard. A fast org-chart announcement is not proof that the operating model works. Keep a decision log. Record the choice, options considered, evidence, accountable decision-maker and consequences. It reduces repeated debate and makes it easier to distinguish a deliberate trade-off from a missed dependency. ## Treat information exchange as a controlled workstream In UK merger investigations, the CMA's interim-measures guidance describes restrictions that can require merging businesses to remain separate and avoid integration or exchanges of sensitive information, subject to the order and any permitted derogations. The exact requirements depend on the case. Build competition-law advice and information controls into the transaction plan, rather than leaving them to an informal deal-team convention. [CMA, *Interim measures in merger investigations: summary for businesses*](https://www.gov.uk/government/publications/interim-measures-and-derogations-guidance-and-templates/interim-measures-in-merger-investigations-summary-for-businesses) Use controlled access, clear purpose, named recipients and documented approvals for sensitive material. Escalate uncertainty to counsel. Planning for integration is not permission to integrate early. ## Run a benefits ledger, not a celebration calendar Review actual results against the baseline, including implementation cost and service impact. Name who validates each benefit and where the evidence comes from. When a dependency slips, update the forecast and make a decision. Do not preserve a target merely because it appeared in the investment case. The deal is only the beginning. Value comes from disciplined decisions after signing, with the right safeguards before completion and accountable owners throughout. --- Source: https://simplif-i.com/api/blog/readable/ma/deal-model-not-integration-plan-20261013 Web Version: https://simplif-i.com/blog/ma/deal-model-not-integration-plan-20261013 © Simplif-i - Unified Business Management Platform
